Terms of Engagement

Introduction

RaiseMN is a program of GiveMN, a Minnesota non-profit corporation, provided in an effort to promote the GiveMN mission. Engagement with RaiseMN is subject to these Terms of Engagement (“Terms”). By engaging with the RaiseMN program, you agree to these Terms and that you have read, understand, and agree to be legally bound by these Terms.


Terms for Learn-Alongs and Webinars

Services Rendered
The Partner acknowledges that the purchase shall solely include access to the webinar or presentation (event) purchased from GiveMN, as well as a recording and any applicable resources (determined by GiveMN), to be included in a follow-up by the GiveMN team no more than one week after the event ends. GiveMN shall not act as a “professional fundraiser” (e.g. GiveMN will not solicit donors on your behalf). The Partner further acknowledges that outcomes of the strategies GiveMN recommends may vary and GiveMN shall have no responsibility for and does not make any guarantees related to the results of such consultation.  

GiveMN shall not disclose any information provided to us in connection with the purchase or The Partner’s attendance to an event to any third party without your consent and shall abide by all applicable data privacy laws and requirements. 

GiveMN shall retain ownership of all materials and presentations created in connection with the event and you shall not use or distribute such materials to any third party for any reason.

The Partner agrees that GiveMN may use any photos or videos taken, or quotes/testimony made during the event for any and all commercial purposes and the Partner fully releases any interest in such photos, videos, or quotes/testimony. 

GiveMN agrees to use our best efforts to fulfill and exceed your expectations on the deliverables included in these terms. You agree to aid us in doing so by making available to us needed information pertaining to your organization and to cooperate with us in expediting the work.

Investment & Remittance
As a nonprofit organization, GiveMN offers RaiseMN services at a cost well below market rate. Fees from our events like this one are invested back into fulfilling GiveMN’s mission to grow giving and ignite generosity.

To provide the work outlined in these terms, the investment needed from The Partners will be outlined on the purchase page. If The Partners do not attend a scheduled event and do not give adequate notice (“no-show”), they are ineligible to receive any kind of refund. If adequate notice or need is brought to the attention of the RaiseMN staff at least 24 hours before an event is due to begin, a refund may be processed at the discretion of the GiveMN team, and the Partner’s access to the event revoked.

Terms for Coaching Engagements

About GiveMN and RaiseMN
GiveMN ignites generosity and grows giving.

GiveMN was launched in 2009 by the Minnesota Community Foundation to be a resource for the entire state of Minnesota, its organizations, and its donors. With growing charitable giving as its mission, GiveMN directly serves nonprofits and schools—through capacity building, outreach, and training—and donors—through creative giving events and technology. More than 400,000 donors have used GiveMN.org to track their charitable giving, make recurring and one-time donations, and stay connected to their favorite causes. Over $200 million has been raised for nonprofits and schools since the launch of GiveMN.org.

GiveMN envisions an unparalleled state of giving—a Minnesota where innovative technology and creative ideas help each person’s generosity soar to its full potential.

In 2015, GiveMN started to ask questions and perform research around a hypothesis: that there is a critical gap in fundraising strategies and infrastructure among small- to medium-sized nonprofits. Through a survey of hundreds of organizations, 69% of Minnesota nonprofits said they were not confident their current fundraising strategy meets the demands of their missions. In fact, 72% of the nonprofits we surveyed relied solely on volunteers or, at most, one staff member to raise money. 

While we continuously expand our coaching team and tweak our curriculum based on participant feedback, we still operate from a set of unique core principles:

  • We coach and teach ethical fundraising: fundraising that centers the well-being of an organization’s staff, board, and volunteers; fundraising that is deeply honest, authentic, transparent, and relational; fundraising that builds a donor base to which an organization wants to be accountable; and fundraising that mobilizes the resources needed for the work without compromising an organization’s values.

  • Organizations are the experts regarding their work and their stakeholders. We start every relationship from scratch, taking a deeply collaborative approach that co-creates solutions uniquely tailored to the work, the staff, and the audience of each partner.

  • We coach for sustainability. Our goal is to build each organization’s internal fundraising expertise so leaders can replicate their success long after our partnership is over. We leave our clients with more knowledge, added skills, a stronger fundraising infrastructure, and deeper donor relationships.

Each coaching session is uniquely tailored to the individual nonprofit’s needs, and each RaiseMN coach is deeply invested in building partnerships with clients that are creative, respectful, and supportive. 

Project Purpose and Goals
Because of this unique partnership, The Partner (purchasing individual and their associated organization) will engage GiveMN to provide RaiseMN fundraising coaching to increase the organization’s knowledge, infrastructure and culture.

RaiseMN positions nonprofits as the experts in both their missions and their donor relationships. Through a coaching model—rather than a traditional consultancy model—fundraising becomes a less mystifying and solitary experience, helping to identify an organization’s fundraising pain points, reinforcing good strategy, teaching essential skills, and leaving nonprofits in better shape to advance long after their engagement with RaiseMN is over.

Work to be Performed
All work to be performed is outlined on the product page where these terms of service are agreed to by The Partner. Descriptions of the work can be found on our website RaiseMN.org, or for a specific engagement, can be acquired by emailing the RaiseMN team at raisemn@givemn.org. The Partner is responsible for selecting which product(s) they would like to purchase, and therefore the work agreed to for an engagement, before agreeing to these terms.

Timeline for Work
This coaching can begin at any point after a product is purchased and these terms are agreed to. Once begun, it is expected that one coaching session will be scheduled by The Partner once a month until the engagement is complete. Therefore, The Partner agrees to putting reasonable effort into scheduling all coaching sessions by a number of months from purchase that is equivalent to one month per session included in the engagement, plus one additional month for flexibility (i.e. If a 3 session engagement is purchased, The Partner should aim to schedule all sessions within 4 months of the purchase being made.) Notwithstanding unexpected, or unavoidable circumstances, regular interaction between coach and client is at the core of every successful coaching interaction. 

Project Team
The GiveMN team for this engagement may include coaches, administrative and logistical support associates, and other members of the RaiseMN family. The project team (to be determined by the RaiseMN team when an engagement is purchased) includes fundraising and development professionals representing philanthropic success from across the country. This team has successfully raised money to empower women in business, provide hope and healing to children with disabilities, increase access to world-class education, and defend basic human rights.

Measuring Success
GiveMN and RaiseMN define success by the success of others: the nonprofits and schools that raise money and connect with donors with our help and the Minnesota donors who engage with the causes that move them to be generous. When more donors are giving more dollars to more organizations and Minnesota is a better place because of it, GiveMN and RaiseMN are successful.

For this project, the RaiseMN team will work with The Partner to co-create measures of success that reflect the values of the organization and the objectives of the overall engagement.

To provide the work outlined in these terms, the investment needed from The Partners will be outlined on the purchase page. If The Partners do not attend a scheduled meeting with their coach and do not give adequate notice (“no-show”), they are ineligible to receive any kind of refund for missed sessions. These missed sessions may be rescheduled, with the expectation that The Partner will aim to do so within the agreed upon timeline from the date of purchase.

GiveMN will provide all of the services listed in the purchase receipt for this engagement.

The Partner acknowledges that the engagement shall solely include management and program consultation and that GiveMN shall not act as a “professional fundraiser” (e.g. GiveMN will not solicit donors on your behalf). The Partner further acknowledges that outcomes of the strategies GiveMN recommends may vary and GiveMN shall have no responsibility for and does not make any guarantees related to the results of such consultation.  

GiveMN shall not disclose any information provided to us in connection with the engagement to any third party without your consent and shall abide by all applicable data privacy laws and requirements. 

GiveMN shall retain ownership of all materials and presentations created in connection with the engagement and you shall not use or distribute such materials to any third party for any reason.

GiveMN agrees to use our best efforts to fulfill and exceed your expectations on the deliverables included in these terms. You agree to aid us in doing so by making available to us needed information pertaining to your organization and to cooperate with us in expediting the work.

Charges and Payment for Services Performed
Requests above and beyond these established terms will be considered out-of-scope and a conversation regarding and request for additional payment outlining these items will be recommended.

The Partner agrees to make payments for services in full before the engagement begins. 

In addition, GiveMN reserves the right to stop work until payment is received. In the event that GiveMN incurs legal fees, costs, and disbursements in an effort to collect payments not received, in addition to interest on the unpaid balance, you agree to reimburse us for these expenses.

Term and Termination
These Terms shall become effective as of the agreement date of these Terms and shall continue until the engagement is completed, at which time the parties shall meet to determine the terms for any renewal thereof.

Either party to these Terms may terminate the engagement if the other party defaults in the performance of any of its material duties and obligations and the default is not cured within thirty (30) days of the receipt of notice of said default, or if the default is not reasonably curable within said period of time, unless the defaulting party commences cure within said period of time and diligently proceeds to cure the default.

Either party may immediately terminate this engagement by giving written notice to the other party if the other party is insolvent or has a petition brought by or against it under the insolvency laws of any jurisdiction, if the other party makes an assignment for the benefit of creditors, if a trustee, or similar agent is appointed with respect to any property or business of the other party, or in the case of the client organization, if the organization materially breaches its obligations to make payment pursuant to these terms.

In addition, either party may terminate this engagement for any or no reason by giving 30-days written notice to the other party. 

In the case of termination by the GiveMN/RaiseMN team, any full or partial refunds for costs associated with the remaining time or work left on the engagement will be issued to cover fees already paid. 

General Provisions
This Agreement shall be governed and construed in accordance with the laws of the State of Minnesota.

The parties each individually represent and warrant that each has full power and authority to enter into these Terms and to perform all of their obligations hereunder without violating the legal or equitable rights of any third party.

GiveMN shall assume no liability for claims made by third parties for damages related to the engagement unless such damages are caused by the intentional acts or gross negligence of GiveMN. 

Except as otherwise set forth or referred to in these Terms, these Terms constitute the sole and entire Terms and understanding between the parties hereto as to the subject matter hereof, and supersedes all prior discussions, agreements, and understandings of every kind and nature between them as to such subject matter.

If any provision of these Terms is held to be illegal, invalid, or unenforceable under any present or future law, then that provision will be fully severable. In such instances, these Terms will be construed and enforced as if the illegal, invalid, or unenforceable provision had never comprised a part of these Terms, and the remaining provisions of these Terms will remain in full force and effect.
